Digital Sales Terms

These Digital Sales Terms (the “Terms”) govern the sale of digital products by Kinoux, a French self-employed micro-entrepreneur, via the Website https://kinoux.com (the “Website”).
By placing an order on the Website, you (“Customer”, “you”) acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Definitions
- Kinoux: the seller and owner of the Website.
- Customer: any natural or legal person purchasing Products from Kinoux, whether acting as a professional or a consumer.
- Products: digital products sold on the Website, including synthetic datasets, AI models, and Python automation agents, as described on the relevant product pages.
- License Terms: specific license conditions applicable to each Product category (datasets, models, agents), available on the “License Terms” page and/or on the Product page.
2. Scope
These Terms apply to any digital order placed on the Website, regardless of the Customer’s country of residence, subject to any mandatory consumer protection rules that may apply.
In case of conflict between these Terms and any specific License Terms, the License Terms shall prevail with respect to intellectual property and permitted uses of the Products.
3. Prices and Billing
Prices for Products are indicated on the Website in euros (€), unless stated otherwise.
Kinoux operates as a French self-employed micro-entrepreneur. As such, VAT may not be applicable in accordance with Article 293 B of the French General Tax Code. Where applicable, this will be stated on the invoice (e.g. “VAT not applicable – art. 293 B CGI”).
Kinoux reserves the right to change prices at any time. The applicable price is the one in force at the time the order is validated.
4. Ordering Process
To purchase a Product, the Customer must follow the steps indicated on the Website, which typically include:
- Selecting one or more Products and adding them to the cart;
- Providing necessary identification, billing, and payment information;
- Reviewing the order summary and, if applicable, accepting these Terms and the License Terms;
- Confirming the order and making payment.
The contract is concluded once the payment is successfully processed and the Customer receives an order confirmation email.
Kinoux reserves the right to refuse or cancel any order in case of:
- obvious error (e.g. manifestly incorrect price),
- suspected fraud or abusive use,
- legal or regulatory constraints.
5. Payment
Payment methods available are indicated on the Website (e.g. credit card via a secure payment service provider: Stripe).
Payment is due in full upon ordering. The order will only be processed once payment is successfully received.
The Customer represents and warrants that they are authorized to use the chosen payment method and that they provide accurate payment information.
6. Delivery of Digital Products
Products are digital and delivered exclusively in electronic form, for example by:
- download link,
- API or repository access,
- or any other digital access method indicated on the Product page.
Unless otherwise specified, delivery is generally immediate or within a short time following successful payment. Kinoux will not provide any physical media.
It is the Customer’s responsibility to ensure that:
- they provide a valid email address, and,
- they have adequate technical means to download and use the Products.
7. Right of Withdrawal (EU Consumers)
If you are an EU consumer, please note that digital content not supplied on a tangible medium (e.g. datasets, models, downloads) is subject to specific rules.
By purchasing a Product and accessing it immediately (e.g. download, access link, or activation), you:
- expressly request that the digital content be made available before the expiry of the statutory withdrawal period; and
2. expressly acknowledge that you lose your right of withdrawal once the download or access has begun.
As a consequence, once the Product has been delivered or made accessible, no refund will be granted on the basis of the withdrawal right, except where required by mandatory consumer law.
For professional Customers, no statutory right of withdrawal applies.
8. License and Permitted Use
Purchasing a Product does not transfer ownership of the underlying intellectual property. The Customer obtains a license to use the Product, under the specific License Terms applicable to its category (dataset, model, agent).
The Customer must read and comply with the License Terms accessible on the Product page and/or the dedicated “License Terms” page.
Any use of the Product that exceeds or contradicts the applicable License Terms is strictly prohibited and may result in termination of the license and legal action.
9. Customer Obligations
The Customer agrees to:
- provide accurate, current, and complete information during the order process;
- keep their account credentials (if any) confidential and not share them with third parties;
- verify the compatibility of the Products with their technical environment before purchase, based on information provided on the Website;
- respect all License Terms associated with the Products;
- comply with all applicable laws and regulations when using the Products.
10. Warranties and Disclaimers
Products are provided “as is” and are primarily intended for professional or technical users.
Kinoux does not warrant that:
- the Products will meet all specific expectations or requirements of the Customer,
- the Products will be error-free, bug-free, or free from inaccuracies,
- the Products will be compatible with all environments or configurations.
To the maximum extent permitted by law, Kinoux excludes all implied warranties, including but not limited to fitness for a particular purpose.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Kinoux shall not be liable for:
- indirect, incidental, special, consequential, or punitive damages,
- any loss of profits, revenue, data, business, or goodwill,
- any damages resulting from the use or inability to use the Products or the Website.
In any case where liability cannot be excluded under mandatory law, the total aggregate liability of Kinoux for any claim relating to a Product shall be limited to the amount actually paid by the Customer for that Product.
12. Force Majeure
Kinoux shall not be held liable for any failure or delay in performance resulting from events beyond its reasonable control, such as natural disasters, strikes, war, acts of terrorism, failures of telecommunications or hosting services, or legal restrictions (“force majeure”).
13. Support and Updates
Unless explicitly stated on the Product page, Kinoux is under no obligation to provide updates, maintenance, or support for the Products.
Where support or updates are offered, their scope, duration, and conditions will be specified on the Website or in a separate agreement.
14. Governing Law and Disputes
These Terms are governed by French law, without prejudice to any mandatory consumer protection rules that may apply in the Customer’s country of residence.
In the event of a dispute, the Parties shall attempt to resolve it amicably. Failing an amicable solution, and unless mandatory provisions dictate otherwise, the courts within the jurisdiction of Kinoux’s registered address shall have exclusive jurisdiction.
