License for Use of Kinoux Datasets

1. Preamble
This Agreement (« License ») governs the use of the dataset (« Dataset ») provided by Kinoux, hereinafter « the Provider », to any natural or legal person (« the Licensee ») who has acquired the right to use this Dataset.
The Dataset was generated synthetically and contains no real or personally identifiable data.
By downloading or using this Dataset, the Licensee accepts all the terms and conditions of this License. Any use not in accordance with these terms is strictly prohibited.
2. Definitions
Provider: refers to the company Kinoux that makes the Dataset available under this License.
Licensee: refers to any natural or legal person who has legally obtained a license to use the Dataset from the Provider.
License: refers to the right to use the Dataset granted by the Provider to the Licensee in accordance with the terms of this License.
Data or Dataset: refers to the text-based dataset generated synthetically, provided to the Licensee under this License.
Project: refers to an application, an artificial intelligence model, or a service developed by the Licensee that incorporates, directly or indirectly, all or part of the Dataset.
Legal Entity: refers to the structure (company, association, public institution, etc.) identified as Licensee and authorized to use the Dataset under this License.
End Client: refers to any person or entity using a service, product, or application that integrates the Dataset or a model derived from it, without ever having access to the raw data.
Derived Product: refers to any model, statistics, analysis, report, or result obtained from the Dataset, excluding the Dataset itself or its substantial parts.
Internal Use: refers to the Licensee’s use of the Dataset for its own needs, without making the Dataset or its derivatives available, directly or indirectly, to third parties.
Integrated Use: refers to the integration of the Dataset or its derivatives into a product, service, or application operated by the Licensee for End Clients, provided that these clients cannot access the raw data.
Distributed Use: refers to any form of making available, sharing, publishing, reselling, sublicensing, or distributing the Dataset or its derivatives, free of charge or for a fee, to unauthorized third parties under this License.
3. Grant of License
The Provider grants the Licensee a non-exclusive, non-transferable, worldwide right to use the Dataset under the conditions set forth below.
This License expressly allows the Licensee to:
- Use the Dataset for training internal AI models or algorithms,
- Integrate the Dataset or its derivatives into a product, application, or service operated by the Licensee, provided the Licensee complies with the limitations set out in this License,
- Exploit the Dataset for internal or commercial purposes, subject to the prohibition on redistribution of the Data.
Any use of the Dataset must strictly adhere to the authorized purposes defined in this License.
For any use or purpose not expressly provided for, the Licensee must obtain prior written consent from the Provider.
4. Usage Restrictions
The Licensee expressly agrees to comply with the following restrictions:
- Prohibition on Redistribution: it is strictly forbidden to publish, distribute, share, or make available all or part of the Dataset, free of charge or for a fee, to anyone, including in modified or adapted form, without prior written consent from the Provider.
- Prohibition on Sublicensing, Reselling or Public Access: the Licensee may not sublicense, resell, transfer, rent, lend, or make the Dataset, in whole or in part, publicly accessible to third parties.
- Prohibition on Integration if Raw Data Access: integration of the Dataset or its derivatives into a product, application, or service is strictly limited to cases where End Clients or third-party users never have direct or indirect access to the raw Dataset data, nor to any substantial part thereof.
- Prohibition on Training Equivalent-use Models: the Licensee may not use the Dataset to train an AI model, API, or service made available to third parties in a way that reproduces, replaces, or competes with the Dataset or allows access to it without obtaining a license from the Provider.
- Prohibition on Public API Models: it is forbidden to offer public access, via API or any other means, to a model trained exclusively or primarily on the Dataset, under conditions that would allow third parties to benefit from usage equivalent to the Dataset itself.
- Prohibition on Reverse Engineering and Reconstruction: any attempt to analyze, extract, reverse engineer, disassemble, or reconstruct the Dataset or its generation method, including to identify generation parameters, sources, or processes, is strictly prohibited.
- Prohibition on Circumventing Technical Protections: the Licensee is prohibited from bypassing, removing, or altering any technical measure or protection (watermark, metadata, etc.) that the Provider may have integrated into the Dataset.
- Single Project Limitation: unless otherwise agreed in writing, the License permits use of the Dataset for only one project or model. Any additional use or extension to other projects requires acquisition of a new license.
- Controlled Subcontracting: the Licensee may allow a contractor or subcontractor to access the Dataset solely to perform work on behalf of the Licensee, provided that this third party commits in writing to comply fully with the terms of this License. The Licensee remains fully responsible for any use of the Dataset by any subcontractor.
5. Specific Conditions for Certain Uses
Use in Commercial Products
Use of the Dataset in a product, application, or service intended for End Clients is allowed only if the raw data, even partially, is never accessible, extractable, or retrievable by these End Clients or any other third party. The Licensee agrees to take all necessary technical and contractual measures to ensure this inaccessibility.
Use by Subsidiaries or Groups
This License is strictly limited to the legal entity that purchased the Dataset. Any use by a subsidiary, affiliate, group entity, or third party is prohibited without prior acquisition of a separate license for each entity.
Academic or Research Use
Use of the Dataset by an academic institution, research laboratory, university, school, or any personnel associated with such an entity is prohibited without prior written authorization from the Provider. For any research or educational project, contact the Provider to discuss potential specific authorization conditions.
Publications
Reproducing or publishing excerpts of the Dataset in articles, reports, theses, scientific communications, or any other public medium is strictly prohibited, except with written consent from the Provider. Short, non-substantial quotations may be exceptionally authorized, subject to prior consent and clear attribution to Kinoux in credits or references.
6. Ownership and Rights
The Licensee acknowledges that all intellectual property rights in the Dataset remain the exclusive property of the Provider.
This License does not constitute a transfer or assignment of intellectual property rights but only grants a right of use strictly limited to the terms defined herein.
The Dataset, in whole or in part, and any extracted element may not be transferred, resold, modified, or used to create a competing product, service, or dataset without prior written consent from the Provider.
Any substantial extraction, reuse, or creation of derived products in violation of these restrictions is strictly prohibited and exposes the Licensee to legal action.
7. Warranty and Liability
The Dataset is provided « as is », without any express or implied warranty regarding its accuracy, completeness, quality, reliability, or fitness for a particular purpose.
The Data is entirely synthetic; any resemblance to real data, persons, or entities is purely coincidental and unintended.
The Provider makes no warranty, express or implied, regarding the absence of errors, bias, omissions, or compatibility of the Data with the Licensee’s specific needs. Any description, statistic, or performance indication provided for information purposes does not constitute a contractual commitment.
Under no circumstances shall the Provider be liable for any direct, indirect, incidental, special, consequential, or punitive damages, nor for loss of data, profits, business, or reputation resulting from the use, inability to use, or misuse of the Dataset, even if the Provider has been advised of the possibility of such damages.
The Licensee agrees to indemnify and hold harmless the Provider from any third-party claims, actions, or disputes arising from the Licensee’s or its agents’ use of the Dataset, compliant or otherwise.
The Provider only warrants that it has the right to grant this License and that the Dataset was generated in compliance with applicable European legislation at the time of creation.
8. Legal Compliance
The Provider certifies that the Dataset was generated synthetically within the European Union in compliance with applicable EU laws and regulations, notably those concerning personal data protection (GDPR).
The Licensee remains solely responsible for complying with all laws and regulations applicable in its jurisdiction, including but not limited to privacy, data protection, security, export control, or any sector-specific legislation related to the use of the Dataset.
The Licensee is strictly forbidden from attempting to identify any individual or legal entity from the Data or combining the Dataset with other sources for that purpose.
In the event of regulatory changes affecting the use of the Dataset, the Licensee agrees to notify the Provider and comply with any instructions aimed at ensuring legal compliance.
9. Termination
In the event of a proven or alleged breach of any obligation under this License, the Provider reserves the right to terminate the License automatically, without notice or compensation, by written notification to the Licensee.
Upon termination for any reason:
- The Licensee must immediately cease all use of the Dataset, destroy or irreversibly delete all copies in its possession or control, and upon request provide written confirmation of destruction.
- Provisions relating to confidentiality, intellectual property, liability, and warranty shall survive termination and remain in full force.
The Provider reserves the right to seek any judicial remedy, including injunctive relief, to stop any unauthorized use of the Dataset and to claim compensation for damages incurred.
A penalty clause may be enforced in the event of a serious breach, subject to applicable law.
10. Miscellaneous
Governing Law and Jurisdiction
This License shall be governed by French law. Any dispute arising from its interpretation or execution shall be subject to the exclusive jurisdiction of the courts in the Provider’s jurisdiction, unless mandatory legal provisions dictate otherwise.
Severability
If any provision of this License is held invalid, void, or unenforceable, the remaining provisions shall continue in full force and effect.
No Implicit Rights
No rights, licenses, or authorizations are granted to the Licensee except those expressly provided in this License. Any tolerance by the Provider regarding a breach by the Licensee shall not constitute a waiver of the Provider’s rights.
License Amendments
The Provider reserves the right to modify the terms of this License at any time without notice.
The Licensee is responsible for reviewing the latest version available on the Provider’s official website (https://kinoux.com) before any use of the Dataset.
In case of conflict between the version delivered to the Licensee and the version posted online, the most recent online version shall prevail.
Kinoux AI Model License
License for Use of Kinoux AI Models

1. Preamble
This Agreement (« License ») governs the use of the AI model (« Model ») provided by Kinoux, hereinafter « the Provider », to any natural or legal person (« the Licensee ») who has acquired the right to use this Model.
The Model is based on synthetic or curated training data and is provided in the form of model weights, configuration files, or packaged artifacts.
By downloading, deploying or using this Model, the Licensee accepts all the terms and conditions of this License. Any use not in accordance with these terms is strictly prohibited.
2. Definitions
Provider: refers to the company Kinoux that makes the Model available under this License.
Licensee: refers to any natural or legal person who has legally obtained a license to use the Model from the Provider.
License: refers to the right to use the Model granted by the Provider to the Licensee in accordance with the terms of this License.
Model: refers to the AI model provided to the Licensee under this License, including but not limited to model weights, configuration files, checkpoints, and any packaged binaries or containers.
Model Output: refers to any text, prediction, classification, score, embedding, or other result generated by the Model when executed by or for the Licensee.
Derived Model: refers to any model obtained by fine-tuning, adapting, pruning, quantizing, distilling, or otherwise modifying the Model, in whole or in part.
Project: refers to an application, an artificial intelligence system, an API, or a service developed by the Licensee that incorporates, directly or indirectly, the Model or a Derived Model.
Legal Entity: refers to the structure (company, association, public institution, etc.) identified as Licensee and authorized to use the Model under this License.
End Client: refers to any person or entity using a service, product, or application that integrates the Model or a Derived Model, without ever having access to the Model weights or other underlying artifacts.
Internal Use: refers to the Licensee’s use of the Model for its own needs, without making the Model, any Derived Model, or their weights available, directly or indirectly, to third parties.
Integrated Use: refers to the integration of the Model or a Derived Model into a product, service, or application operated by the Licensee for End Clients, provided that these clients cannot access the Model weights or any substantial part of the underlying artifacts.
Distributed Use: refers to any form of making available, sharing, publishing, reselling, sublicensing, or distributing the Model, any Derived Model, or their weights, free of charge or for a fee, to unauthorized third parties under this License.
3. Grant of License
The Provider grants the Licensee a non-exclusive, non-transferable, worldwide right to use the Model under the conditions set forth below.
This License expressly allows the Licensee to:
- use the Model for internal inference, evaluation, and experimentation,
* fine-tune or adapt the Model to create Derived Models for the Licensee’s own use, - integrate the Model or a Derived Model into a product, application, or service operated by the Licensee, provided the Licensee complies with the limitations set out in this License,
- exploit the Model and any Derived Models for internal or commercial purposes, subject to the prohibition on redistribution of the Model weights.
Any use of the Model must strictly adhere to the authorized purposes defined in this License.
For any use or purpose not expressly provided for, the Licensee must obtain prior written consent from the Provider.
4. Usage Restrictions
The Licensee expressly agrees to comply with the following restrictions:
- Prohibition on Redistribution of Weights:
It is strictly forbidden to publish, distribute, share, or make available the Model weights or any Derived Model weights, in whole or in part, free of charge or for a fee, to anyone, including in modified or adapted form, without prior written consent from the Provider. - Prohibition on Sublicensing, Reselling or Public Access to Artifacts:
The Licensee may not sublicense, resell, transfer, rent, lend, or make the Model or any Derived Model artifacts (weights, checkpoints, containers, etc.), in whole or in part, publicly accessible to third parties. - Controlled API Access:
The Licensee may expose the Model or a Derived Model via an API, application, or service only when End Clients and third-party users have access solely to Model Outputs and never to the underlying Model artifacts (weights, checkpoints, etc.), nor to any substantial part thereof. - Prohibition on Equivalent-use Public Models:
The Licensee may not use the Model to train, distill, or generate another model, API, or service that is made available to third parties in a way that reproduces, replaces, or competes directly with the licensed Model as a product, without obtaining a separate license or written consent from the Provider. - Prohibition on Public “Model-as-a-Service” Clones:
It is forbidden to offer public access, via API or any other means, to a model trained exclusively or primarily on the Model or its outputs, under conditions that would allow third parties to benefit from usage equivalent to direct access to the Model licensed by the Provider. - Prohibition on Reverse Engineering and Reconstruction:
Any attempt to analyze, extract, reverse engineer, disassemble, or reconstruct the internal parameters of the Model, its training data, or its generation method, beyond what is strictly necessary for legitimate integration and operation, is strictly prohibited. - Prohibition on Circumventing Technical Protections:
The Licensee is prohibited from bypassing, removing, or altering any technical measure or protection (watermark, metadata, licensing checks, obfuscation, etc.) that the Provider may have integrated into the Model. - Single Project Limitation:
Unless otherwise agreed in writing, the License permits use of the Model for only one Project or application scope. Any additional use or extension to other Projects requires acquisition of a new license. - Controlled Subcontracting:
The Licensee may allow a contractor or subcontractor to access the Model solely to perform work on behalf of the Licensee, provided that this third party commits in writing to comply fully with the terms of this License. The Licensee remains fully responsible for any use of the Model by any subcontractor.
5. Specific Conditions for Certain Uses
Use in Commercial Products and Services
Use of the Model or a Derived Model in a product, application, or service intended for End Clients is allowed only if:
- End Clients never have access to the Model weights, checkpoints, or underlying artifacts, even partially; and
- the Licensee takes all necessary technical and contractual measures to prevent extraction, bulk downloading, or automated querying with the purpose of reconstructing the Model or its training data.
Use by Subsidiaries or Group Entities
This License is strictly limited to the Legal Entity identified as Licensee. Any use by a subsidiary, affiliate, group company, or third party is prohibited without prior acquisition of a separate license for each entity.
Academic or Research Use
Use of the Model by an academic institution, research laboratory, university, school, or any personnel associated with such an entity is prohibited without prior written authorization from the Provider. For any research or educational project, the Licensee must contact the Provider to discuss specific authorization conditions.
Publications
Publication of Model Outputs (for example in articles, blog posts, reports, or scientific papers) is generally permitted, provided that:
- no Model weights, checkpoints, or proprietary internal details are disclosed; and
- Kinoux is clearly credited as the provider of the original Model.
Any publication that reveals non-public implementation details, training procedures, or architecture specifics requires prior written consent from the Provider.
6. Ownership and Rights
The Licensee acknowledges that all intellectual property rights in the Model remain the exclusive property of the Provider and/or its licensors.
This License does not constitute a transfer or assignment of intellectual property rights but only grants a right of use strictly limited to the terms defined herein.
The Model, in whole or in part, and any Derived Model may not be transferred, resold, or used to create a competing model catalog or dataset product without prior written consent from the Provider.
Any substantial extraction, reuse, or creation of competing products in violation of these restrictions is strictly prohibited and exposes the Licensee to legal action.
7. Warranty and Liability
The Model is provided « as is », without any express or implied warranty regarding its accuracy, completeness, quality, reliability, or fitness for a particular purpose.
The Provider makes no warranty, express or implied, regarding:
- the absence of errors, bugs, or bias in the Model;
- the compliance of the Model with any specific regulation or standard in the Licensee’s jurisdiction;
- the suitability of the Model for critical decision-making without human oversight.
Under no circumstances shall the Provider be liable for any direct, indirect, incidental, special, consequential, or punitive damages, nor for loss of data, profits, business, or reputation resulting from the use, inability to use, or misuse of the Model, even if the Provider has been advised of the possibility of such damages.
The Licensee agrees to indemnify and hold harmless the Provider from any third-party claims, actions, or disputes arising from the Licensee’s or its agents’ use of the Model, compliant or otherwise.
The Provider only warrants that it has the right to grant this License at the time of delivery of the Model.
8. Legal Compliance
The Licensee remains solely responsible for complying with all laws and regulations applicable in its jurisdiction, including but not limited to:
- AI-specific regulations,
- privacy and data protection laws,
- export control rules,
- and any sector-specific legislation related to the use of AI models (e.g. finance, health, employment).
The Licensee is strictly forbidden from using the Model to unlawfully discriminate, harass, defame, deceive, or otherwise harm individuals or groups.
In the event of regulatory changes affecting the use of the Model, the Licensee agrees to comply with any reasonable instructions communicated by the Provider in order to ensure legal compliance.
9. Termination
In the event of a proven or alleged breach of any obligation under this License, the Provider reserves the right to terminate the License automatically, without notice or compensation, by written notification to the Licensee.
Upon termination for any reason:
- the Licensee must immediately cease all use of the Model and any Derived Model,
- destroy or irreversibly delete all copies, artifacts, and checkpoints in its possession or control, and upon request provide written confirmation of destruction,
- all provisions relating to confidentiality, intellectual property, liability, and warranty shall survive termination and remain in full force.

Kinoux Software EULA
License for Use of Kinoux Software
Version: 2025-06-01
1. Preamble
This End-User License Agreement (“EULA”) governs the use of any software product (“Software”) provided by Kinoux, including but not limited to Python automation agents, utilities, scripts, packaged tools, and binaries.
By downloading, installing, or using the Software, the Licensee accepts all terms of this EULA. Any use not expressly permitted by this EULA is strictly prohibited.
2. Definitions
Provider: Kinoux, the entity distributing the Software.
Licensee: Any natural or legal person who lawfully acquires the Software.
Software: Any program, script, agent, binary, container, configuration file, or related artifact provided under this EULA.
Derived Software: Any modification, extension, adaptation, or derivative work based on the Software.
Project: Any application, integration, service, or automation created using the Software.
End Client: Any person using a service incorporating the Software, without direct access to the underlying Software.
Internal Use: Use by the Licensee exclusively for its own operations, without redistributing the Software.
Integrated Use: Use of the Software within a product or service, provided the end-users cannot extract or access the Software itself.
Distributed Use: Any publication, sharing, reselling, sublicensing, or distribution of the Software or Derived Software.
3. Grant of License
The Provider grants the Licensee a non-exclusive, non-transferable, non-sublicensable, worldwide license to:
- install, run, and use the Software in the Licensee’s environment,
- integrate the Software into internal workflows or systems,
- allow employees or contractors to use the Software strictly for the Licensee’s benefit.
The Licensee may use the Software for both personal and commercial internal use.
Unless explicitly specified otherwise, this license covers a single legal entity and cannot be shared among group companies or subsidiaries.
4. Permitted Use
The Licensee may:
- install and execute the Software on local or cloud environments under its control,
- customize configuration files or extension points when permitted,
- use the Software to automate tasks, process data, interact with third-party APIs, or support internal operations.
Contractors may use the Software exclusively on behalf of the Licensee and under the Licensee’s responsibility.
5. Usage Restrictions
The Licensee expressly agrees not to:
5.1 Redistribute or resell the Software
The Licensee may not resell, sublicense, lend, rent, publish, or distribute the Software or any Derived Software.
5.2 Provide Public Access
The Licensee may not make the Software available as a downloadable artifact, nor expose it as a hosted tool accessible by third parties.
5.3 Reverse Engineer
The Licensee must not attempt to decompile, reverse engineer, or extract the internal logic or structure of the Software, except where required by mandatory law.
5.4 Create Competing Products
The Licensee must not use the Software to develop competing or substitutive tools or services that replicate core functionalities of Kinoux products.
5.5 Bypass Technical Protections
The Licensee must not disable licensing controls, remove metadata, or circumvent security mechanisms embedded in the Software.
5.6 Prohibition on Publishing the Source Code
The Licensee may not publish, upload, or make available the Software, any part of its source code, or any Derived Software in public or unrestricted repositories, including but not limited to GitHub, GitLab, Bitbucket, Hugging Face, Kaggle, or any similar platform.
5.7 Prohibition on Offering the Software as a Hosted Service
The Licensee may not offer, expose, or wrap the Software as a hosted or remote service (including API access) for third-party use, whether free or paid, when such access would replicate, substitute, or expose the functionality of the Software in a way that allows third parties to benefit from it without purchasing a license directly from the Provider.
6. Open-Source Components
The Software may contain or rely on third-party open-source components. These components remain governed by their respective licenses.
Nothing in this EULA limits your rights under such open-source licenses.
7. Updates, Support, and Deprecation
Unless explicitly included in the Product page:
- Kinoux is not obligated to provide updates, maintenance, or support,
- Kinoux may discontinue or modify the Software at any time,
- Any update provided is automatically covered by this EULA unless accompanied by a different license.
8. Ownership
The Software remains the exclusive property of the Provider.
This EULA grants usage rights but does not transfer any intellectual property rights.
All rights not expressly granted are reserved.
9. Warranty Disclaimer
The Software is provided “as is”.
The Provider makes no warranty regarding:
- error-free or uninterrupted operation,
- accuracy or reliability,
- suitability for a specific purpose,
- compliance with any regulatory framework applicable to the Licensee.
To the fullest extent permitted by law, all implied warranties are excluded.
10. Limitation of Liability
To the fullest extent permitted by law, the Provider shall not be liable for:
- indirect, incidental, punitive, or consequential damages,
- loss of profits, revenue, data, or business opportunities,
- damages arising from misuse or inability to use the Software.
In all cases where liability cannot be excluded, it is limited to the amount paid by the Licensee for the Software.
11. Termination
This EULA is effective upon first installation or use of the Software.
The Provider may terminate the EULA without notice if the Licensee breaches any term.
Upon termination:
- the Licensee must cease all use of the Software,
- delete all copies of the Software and Derived Software,
- certify deletion upon request.
Provisions related to IP rights, confidentiality, limitations of liability, and legal compliance survive termination.
12. Governing Law and Jurisdiction
This EULA is governed by French law, unless mandatory consumer law specifies otherwise.
Any dispute shall fall under the jurisdiction of the courts of the Provider’s registered address, unless mandatory rules dictate otherwise.
13. Amendments
Kinoux reserves the right to update this EULA at any time for future versions of its Software.
The Licensee is responsible for reviewing the latest version on https://kinoux.com before downloading or using new releases.
